Please read these Terms carefully. They explain what you can expect from us and what we expect from you. This page is a draft that a lawyer must review before launch.
1. About these terms
These terms of use (the "Terms") are an agreement between you and [Company legal name] ("Junior Content Network", "JCN", "we", "us"), which runs the websites at juniorcontent.com and everything under it, including the member area, the Market, Events, Jobs, Credits, Advertise with us and Make money with us (together, the "Service").
By creating an account, signing in with Google, Facebook or LinkedIn, or using the Service, you agree to these Terms and to our Privacy notice. If you do not agree, do not use the Service. If you use the Service for an organisation, you confirm that you can bind it, and "you" includes that organisation.
2. Who the Service is for
Junior Content Network is a professional network for people and organisations that make, sell, license, finance, distribute, promote or support content for children and young audiences: film, TV, animation, books, games, audio, licensing and IP, and the services around them.
You must be at least 18 years old and able to enter a binding contract. The Service is not directed at children and is not a place for children to watch or play content. We approve members by hand and may decline, suspend or remove a profile that does not fit the purpose of the network or that we cannot verify.
3. Your account
- Give accurate information and keep it up to date. One person, one account, unless we agree otherwise. A company profile must be run by someone who is authorised to speak for the company.
- Keep your password and sign-in methods secure. You are responsible for what happens under your account. Tell us at once if you think it has been used without your permission.
- Signing in with Google, Facebook or LinkedIn lets us receive the basic details you allow them to share, such as your name and email address. You can disconnect a sign-in method in your account. We never post to those services for you.
- Our team may work in your account when you ask us to, for example to help list an event or fix a profile. Those actions are logged.
4. Your content and the licence you give us
You keep ownership of everything you post or list: profile details, credits, titles, descriptions, images, event and job posts, messages and reviews ("Your Content"). You promise that you have the right to post it and to offer any rights you describe, and that it is accurate and does not break the law or anyone's rights.
You give us a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, resize, translate and share Your Content as needed to run, secure, improve and promote the Service, and to show it to the audience you choose (for example only to approved members, or publicly if you mark a job or event as public). The licence ends when you delete the content or your account, except for copies in backups for a limited time, content other members have already quoted in their own messages, and records we must keep by law.
We do not claim to own your titles, catalogue, scripts, footage or any rights in them. Listing a title does not give anyone a licence. Only a signed agreement between members does.
5. Our content and rights
The Service, its design, software, text, graphics, names and logos (including Junior Content Network, Junior Content Market and Junior Content Expo) belong to us or our licensors and are protected by law. You may use the Service for its intended purpose. You may not copy, scrape, harvest, republish or resell member information, directories or catalogue data, build a competing database, reverse engineer the software, or use bots or automated tools to collect data, except through the feeds and tools we provide (such as the affiliate feeds) and as search engines are allowed by our robots file.
Canada Kids Film Festival is an independent brand and an affiliated festival. Other names and marks belong to their owners.
6. Deals and licensing happen between members
JCN introduces members to each other and gives them tools to describe their content, state what rights are available, send enquiries and offers, and record agreed terms. We are not an agent, broker, distributor, licensor or party to any agreement between members, and we do not take a commission on deals unless we say so in writing.
Any contract, licence, co-production, purchase or hire is only between the members involved. You are responsible for checking who you are dealing with, for reading and negotiating your own contracts, for taxes, for delivering what you promise and for paying what you owe. Do not treat a profile, a credit or a rating as proof of identity, ownership or ability: we do not verify who owns the rights to a title. Tools such as offers, counter-offers, milestones, escrow records and signed records only keep a record of what members entered. They do not make an agreement binding and they do not hold or move money between members.
We cannot guarantee any buyer, seller, deal or outcome. If you have a dispute with another member, try to settle it directly. You may report a member to us and we may act under these Terms, but we do not decide contract disputes.
7. Rules of conduct
Be accurate, professional and respectful. You must not:
- post anything false, misleading or impersonating another person or company, or claim rights you do not hold;
- infringe copyright, trademark, privacy or other rights, or post a title or image without permission;
- harass, threaten, discriminate against or defraud anyone, or send unwanted bulk or unrelated offers, chain messages or spam, including through the invitation and message tools;
- post adult, violent, hateful or illegal content, or anything that sexualises or endangers children;
- create fake, duplicate or automated accounts, fake reviews, or manipulate ratings, referrals, credits, promo codes or advertising numbers;
- try to break, probe or overload the Service, bypass limits or access controls, or access data that is not yours;
- use the Service to collect members' contact details for marketing or to build lists to sell.
We may remove content, limit features, suspend or close accounts, and report unlawful activity to the authorities. Members can report content and people, and we review reports.
8. Children's safety
JCN does not host content for children to watch and is not directed at anyone under 18. Members who make or sell content for children are responsible for following the child-protection, advertising-to-children, privacy and classification rules that apply to their work. We have zero tolerance for child sexual abuse material or any exploitation of children. We will remove it, close the account and report it to the authorities.
9. Credits, plans, payments and refunds
What credits are. Credits are points used inside Junior Content Network. You can use them to subscribe to a plan, to feature a listing, job, service or event, and to run a banner ad. Credits are not money. They have no cash value, cannot be exchanged for cash, cannot be transferred to another member, and do not earn interest.
Buying credits. You can buy credits in packs by card through Stripe, through PayPal, or by a direct payment that we confirm by hand. The price and the number of credits are shown before you pay. Prices are shown before tax where tax applies, and tax is added where it is required. Credits are added once the payment is confirmed. For a direct payment, credits are added after we confirm that the money has arrived.
Plans, featured items and banners. A plan lasts for the period shown when you buy it. When it ends you return to the free plan unless you renew. A featured item or a banner runs for the dates stated on the order. Banners are reviewed before they run. If a banner is cancelled before it is approved, or is not approved, the credits are returned to you.
Expiry. We may set credits to expire a number of months after they are bought or added. If expiry is on, the date is shown in your credit history and we warn you before credits expire. Credits you spend first are the oldest ones. Changing the expiry period applies only to credits added after the change. [Expiry period to be confirmed by the owner. It can also stay off.]
Refunds. You can ask for a refund of purchased credits that you have not used if you ask within 14 days of the purchase. Credits you have already used, and plans, featured items and banners that have been delivered, are not refundable. A refund goes back through the original payment method. Credits added as a reward, a promotion or a goodwill gesture have no cash refund. This does not limit any right you have under the consumer law where you live. Chargebacks and misuse. If you dispute a payment with your bank or card provider without first contacting us, we may remove the credits from that order and suspend your account while we look into it. We may also remove credits and suspend or close an account where credits were gained or used through fraud, abuse of promo codes or referrals, or false or duplicate accounts.
Promo codes. A code may give an amount or percentage off, free credits or bonus credits. Each code has its own rules, such as a last day, a total number of uses and a limit per member. A code has no cash value, cannot be combined with another code on the same order unless we say so, and may be switched off by us at any time. If a purchase made with a code is refunded, the discount or bonus credits are taken into account.
Price changes. We may change pack, plan, banner and featured prices and the number of credits in a pack. A change does not affect an order you have already paid for. We show the current price before you pay.
10. Advertising and featured items
You can buy banner placements and featured items with credits. You choose where and when it runs and, for banners, which audience should see it (by country, province or state, city, world region and role type). A member sees a banner only if their profile matches every kind of targeting you choose, and we limit how often one member sees it each day. We show you how many members match, never who they are, and we report views, members reached, clicks and click rate.
You promise that your advertising is lawful, truthful, suitable for a professional audience, does not target or appeal to children, and that you have the rights to everything in it. We review banners before they run and may reject, pause or remove one at any time. If we remove a running banner without fault on your part, we return the credits for the unused time. We do not guarantee any number of views, clicks, sales or results. Banners are marked "Sponsored". Featured items are shown first and marked as featured, and featuring does not mean we endorse the item.
11. Make money with us (affiliate programme)
Any approved member can join the affiliate programme from their account. By using it you also agree to these programme terms.
- How you earn. You earn commission on what people you refer spend, at the rates, limits and time windows shown in your affiliate area and on the Make money with us page. Rates can be different by type of spend, by size of purchase, by person, and by limited-time campaign. A campaign rate applies to the people who join during that campaign, and does not change people who joined at another time.
- Who counts. A person counts as referred by you when they join through your link, banner, widget or invitation, and the first referrer keeps the credit while the referral cookie lasts (30 days unless we change it). You cannot refer yourself, your own other accounts, or people in your household or company who would have joined anyway.
- Limits. Commission may stop after a total amount per referred person, or after a number of months, or have no limit, as shown to you. The limit that applies to a referred person is fixed when they join.
- Hold period and reversal. New commission waits in a hold period (14 days unless we change it) before it can be withdrawn. We may reverse commission when a purchase is refunded, charged back or cancelled, or when it was earned through breach of these rules. Commission that was already paid and is later reversed may be deducted from future commission or recovered.
- Payouts. You can request a payout by PayPal, Stripe or bank transfer once your available balance reaches the minimum for that method. A fee (a percentage, a fixed amount, or both) may apply to a method, and you see the fee and the amount you will receive before you confirm. Payouts are sent by our team and may take several business days. You must give correct payout details and be able to receive money by the method you choose. You are responsible for your own income taxes and, where we are required to, we may ask for tax information or withhold tax.
- Marketing rules. Say clearly that you are an affiliate where the law requires it. Do not spam, mislead, use our name or logos to suggest you speak for us, use paid ads on our brand name without our written permission, send invitations to people you do not know, or use bots, fake sign-ups or incentives that break these Terms. Invitations are sent once per person from our system and we apply anti-spam laws, including the Canadian Anti-Spam Legislation.
- Changes and suspension. We may change rates, limits, fees, hold periods and minimums for future spend, and may pause the programme. We may suspend an affiliate and remove commission earned through misuse. The earlier rule that referral rewards are paid in credits no longer applies to the affiliate programme, which pays commission in cash as described here.
12. Events, Expo and jobs
Events, Expo sessions and job posts contain information supplied by organisers and employers. We do not check it, we are not the organiser or employer, and paying to feature a post does not mean we endorse it. Registration, tickets, refunds, safety and the way an event is run are between you and the organiser. Employers must follow the hiring, equal-opportunity, pay-transparency and privacy laws that apply to them, and must not post misleading roles or ask applicants for payment. Applicants should be careful about sharing sensitive personal information. Résumés and applications you send are shared with the employer you applied to.
Hosting Expo events and selling tickets. A member who hosts an event under the Expo (a "Host") applies each year and must be approved each year; approval can be refused, withdrawn or limited. Events must take place on the Expo dates we announce and must follow these Terms and the host guidelines. A Host sets ticket types, prices, capacity, questions, promo codes and a refund policy, and is the seller and organiser: the Host, not JCN, is responsible for the event, its safety, permits and insurance, taxes, and honouring tickets and refunds. JCN provides software for registration and check-in and does not take, hold or move payment for tickets: paid tickets are paid to the Host directly, and the Host records the payment. A Host must describe the event truthfully, honour the refund policy shown at registration, and use attendee information only to run that event and to communicate about it. Attendees may register without a JCN account; the registration page and ticket links are private to whoever holds the link. We may unpublish an event or remove a Host that breaks these rules.
13. Messages and member communications
Messages, enquiries and offers are for business purposes between members. Do not use them for spam, solicitation unrelated to the network, or harassment. We may review messages that are reported, and where needed for safety, security, legal reasons or to enforce these Terms. We send you service emails (such as sign-in, approvals, receipts and security notices) and, depending on your settings, notifications and updates. You can change notification settings in your account and unsubscribe from marketing messages at any time.
14. Ratings, reviews and moderation
If you post a review, rating or recommendation it must be honest, based on real experience and not paid for or traded. We may remove content that breaks these Terms and may use automated tools and human review to help keep the Service safe. If we remove your content you may ask us to look again by writing to hello@juniorcontent.com.
15. Copyright and other rights complaints
If you believe something on the Service infringes your rights, send a notice to hello@juniorcontent.com that includes who you are, what is infringed and where it is, a statement that you have a good-faith belief that the use is not authorised, and a statement that your notice is accurate and that you are the rights holder or authorised to act for them. We may pass the notice to the member who posted the content, remove content, and close the accounts of repeat infringers. [Lawyer to confirm the notice process for Canada and the United States.]
16. Third-party services and links
The Service connects to services run by others, such as payment processors (Stripe, PayPal), sign-in providers (Google, Facebook, LinkedIn), a bot check (Google reCAPTCHA) and links to outside websites. We do not control them and they have their own terms and privacy notices. We are not responsible for them or for what you do on them.
17. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we do not promise that it will be uninterrupted, error-free or secure, or that content, ratings, deals, rights information, jobs or events are accurate or reliable, and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing on the Service is legal, financial, tax or investment advice. Get professional advice before you sign or pay.
18. Limit of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or deals, or for anything another member or third party does or fails to do. Our total liability to you for all claims about the Service is limited to the greater of the amount you paid us in the 12 months before the claim and CAD $100. Some places do not allow some of these limits, and then they apply only as far as the law allows. Nothing here limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
19. Your responsibility
You will cover and defend us and our team from claims, losses and costs (including reasonable legal fees) that come from Your Content, your advertising, your deals with other members, your breach of these Terms or the law, or your misuse of the Service, as far as the law allows.
20. Ending your account
You can close your account at any time in your account settings or by writing to us. We may suspend or close an account, or remove content, if you break these Terms, if we must by law, or to protect members and the Service. Unused credits have no cash value and are lost when an account is closed for breach, except where the law says otherwise. Available affiliate commission that is not in dispute is paid out if the account is closed in good standing. Sections that by their nature should continue (such as ownership, licences already granted, disclaimers, liability, indemnity and governing law) continue after the account ends.
21. Changes to the Service and the Terms
We may change, add or remove features. We may update these Terms. For important changes we will tell you by email or in the Service before they apply. If you keep using the Service after a change takes effect, you accept it. If you do not agree, close your account.
22. Governing law and disputes

A common choice is the laws of Ontario and the federal laws of Canada that apply there, with the courts of Toronto, while keeping the consumer rights you have where you live.] If any part of these Terms cannot be enforced, the rest still applies. If we do not enforce a right right away, we have not given it up. You may not transfer your rights under these Terms. We may transfer ours to a successor of the business. These Terms and the Privacy notice are the whole agreement between us about the Service.
